Job Description:
The Vice President and Assistant General Counsel, Retail will be
responsible for drafting and negotiating lease agreements and
handle related matters for the Retail Division of the Irvine
Company, a diversified, privately held real-estate investment
company and master-planner. This position will also provide as
needed support for the other functions performed by the Retail
Legal team. The successful candidate will be based in the Company’s
Retail divisional offices. Job Duties: Draft, negotiate, and
finalize retail lease agreements and related documents for new
tenants leasing space within the Retail portfolio. Throughout the
lease documentation process, work in close coordination with
leasing, construction, and other stakeholder representatives within
the Division to facilitate timely execution of lease agreements.
Key functions include (i) preparation and delivery of initial lease
draft, using approved deal term sheet and Legal Department lease
forms and ancillary provisions, (ii) corresponding directly with
tenant’s representative or counsel to solicit tenant comments and
negotiate legal terms, (iii) preparation and delivery of all
subsequent lease drafts, (iv) delivery of execution documents to
the tenant, and (v) implementation of effective processes that
communicate documentation status to other key Divisional team
members Other Divisional Legal functions include (i) final legal
review and/or execution of Retail leases, amendments or other
documents, (ii) preparation and/or review of ancillary leasing
documents, such as letters of intent, confidentiality agreements,
estoppels, SNDAs and memoranda of leases, (iii) review of existing
lease documents to answer operational or leasing issues, and (iv)
oversight of litigation and/or administrative complaints.
Administrative functions include leadership and supervision of
junior members and paralegals in the Retail Legal Department.
Minimum Qualifications / Other Expectations: Skills and Experience
Requirements: Licensed attorney with a minimum of 8 years of
experience representing clients in sophisticated real estate
leasing transactions, with significant leasing experience involving
national or regional retail tenants. Minimum of 5 years of
experience in private practice, at a leading law firm, preferred
Broad exposure to other real estate transactional matters
preferred. Outstanding oral and written communication. Excellent
customer service skills and a passion to help others, both
internally and externally. Practical and results-oriented approach
coupled with analytical rigor. Ability to organize and manage
multiple matters simultaneously. Ability to be a self-starter and
work independently. Excellent analytical, critical thinking and
decision-making skills. Strong computer proficiency in Google and
Microsoft Word. Ability to develop proficiencies in other
computer-based technologies used Company-wide, such as Salesforce
and Legal Tracker. Ability to quickly adapt and embrace new
work-based technologies adopted by the Company from time to time.
Education and Certification Requirements: Graduate of a nationally
recognized law school Admitted to California Bar Compensation: Base
Pay Range: $224,100.00 - $289,500.00 Actual placement within this
range may vary based upon, but not limited to, relevant experience,
time in role, base salary of internal peers, prior performance,
business sector, and geographic location. The Company also offers
